These Terms and Conditions govern access to and use of js-developers.com and any services provided through it. By using the website or entering into a service agreement with us, you agree to these terms.

Definitions

For clarity, the following definitions apply:

  • Agreement – The written contract, proposal, or accepted scope outlining services.
  • Client Content – Materials provided by the client for use within a project.
  • Deliverables – Work outputs specified in the Agreement.
  • Company Tools – Internal frameworks, reusable code, templates, or methodologies owned by js-developers.com.
  • Final Deliverables – Completed and approved work delivered to the client.
  • Project – The defined scope of services agreed between the parties.
  • Services – Development, consulting, or related professional work performed.
  • Third-Party Materials – Software, assets, or services not owned by us.

Delivery of Services

Services are performed according to the milestones and scope defined in the Agreement. We apply professional judgment and commercially reasonable efforts to meet agreed objectives.

Timelines may depend on timely client cooperation and external factors.

Proposals and Scope

Proposals remain valid for thirty (30) days unless otherwise specified. If not accepted within that timeframe, we reserve the right to revise and resubmit them.

Fees and Related Costs

Unless explicitly included in the Agreement:

  • Third-party expenses are billed separately.
  • Approved project-related expenses may be charged at cost.
  • Clients are responsible for applicable taxes associated with services.

Payment Terms

Invoices are due within five (5) days unless otherwise agreed in writing. Milestone-based payment schedules may apply as outlined in the Agreement.

Failure to pay on time may result in suspension of services.

Scope Changes

All requests for modifications must be made in writing.

Minor adjustments that do not significantly impact cost or schedule may be accommodated within the existing Agreement. Substantial changes require a supplemental written agreement.

Revised proposals typically remain open for fourteen (14) working days.

Delays

If delays result from incomplete client materials or late approvals, project timelines may be extended accordingly.

If delays occur on our side, we will inform the client promptly and seek a reasonable solution.

Events beyond reasonable control, including unforeseen technical or external disruptions, are not considered breaches and may extend timelines.

Review and Acceptance

We conduct internal testing before submitting Deliverables.

Clients have seven (7) working days to review and provide feedback. Reasonable revisions will be addressed within an agreed timeframe.

Client Responsibilities

Clients agree to provide lawful and accurate materials and ensure they have the rights to use submitted content.

Unless otherwise agreed, clients are responsible for final proofreading and timely decisions regarding third-party services.

Attribution and Portfolio Use

Unless restricted in writing, we may include a discreet accreditation link within completed projects.

We may also showcase completed work in our portfolio. Neither party should unreasonably prevent factual reference to the collaboration.

Confidentiality

Both parties agree to maintain the confidentiality of non-public information. Confidential information does not include information that is publicly available or lawfully obtained.

Independent Contractor Relationship

Js-developers.com operates as an independent contractor. Nothing in these Terms establishes a partnership, joint venture, employment, or exclusivity unless expressly agreed in writing.

We may engage subcontractors while remaining responsible for service delivery.

Limitation of Liability

Services are provided on an “as is” basis to the extent permitted by applicable law.

Our total liability for any claim related to services is limited to the amount paid for the relevant services giving rise to the claim.

Intellectual Property Rights

Upon full payment, clients receive a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.

Company Tools and reusable components remain our property unless explicitly transferred in writing. Redistribution or modification beyond agreed use may be restricted.

Support and Maintenance

Support services are provided only if separately agreed in writing and may incur additional fees.

Any warranty becomes void if Deliverables are modified by third parties without authorization.

Updates to These Terms

We may update these Terms and Conditions from time to time. The version published on js-developers.com governs ongoing use. Continued use of the website or services indicates acceptance of updated terms.
